• Services from Baruni Solutions to the client will be governed by the stipulations of this detailed service agreement.


• Definitions, roles, and procedural specifics for managing day-to-day operations under this contract are encapsulated in   Schedule 1.

3.Detailed Operational Guidelines

• Nature of Contractual Relationship:


• This arrangement does not create an employer-employee relationship between the client and Baruni Solutions contractors.


• Clients are responsible for selecting contractors in compliance with local employment standards, without granting contractual   powers to contractors on behalf of the client.

4. Duration and Financial Terms

• This service contract is operational on a rolling monthly basis from the start date, subject to termination as defined within the   agreement.


• Payment timelines and conditions are detailed in Schedule 1 and are also accessible via the Baruni Solutions website.

5. Liabilities and Protective Clauses

• Exemptions from Liability:


• Baruni Solutions disclaims liability for any losses or damages that the client may incur under specific scenarios described within   the contract.


• Notably, this includes any operational delays, rejections of employment offers by contractors, or subpar contractor performance.

6.Indemnification by Client:

• The client is obligated to cover Baruni Solutions against any legal claims or damages involving injuries to or caused by   contractors, as well as property damage during contract execution.


• The contract also includes financial penalties for directly hiring Baruni Solutions’ personnel without mediation, alongside strict   guidelines for handling sensitive information.

Supplementary Conditions

Ownership of Intellectual Outputs:

• All intellectual outputs crafted by Baruni Solutions employees during their engagements are the property of the client, with   associated intellectual rights duly assigned.

Data Privacy and Secrecy:

• Adherence to privacy laws is paramount, with both parties committed to the secure handling of confidential information,   disclosing only what is required by law.

Assurances and Termination Rights:
